當然，要想設計理想的股權分配方案，創始股東需注意守住 2/3以上（＞66.7％）的絕對控制線，1/2以上（＞50％）的相對控制線，1/3以上（＞33.4％）的否決控制線三條控制線。

創始人51%，合伙人32%，期權17%的股權，對于公司大多數的事，都是可以拍板，但唯獨上面的修改公司章程、增加或減少注冊資本，合并、分立及解散等重大事項，如果沒有其他股東同意，則決策不了。

34%一票否決權：
34% veto power:
股東持有34%股權，雖然不能完全決定公司事務，但當股東會修改公司章程、增加或減少注冊資本、公司合并、分立、解散或變更公司形式這些公司重大事項時有一票否決的權利。

因此，持股比例在33.34%以上50%以下的股東，是可以影響公司的重大決策的執行。
