一、67%絕對控制線
1、 67% absolute control line
《公司法》中規定，公司在進行股本變動、增減注冊資本、修改公司章程、變更主營業務等重要決策時，必須要獲得2/3以上股東的支持。也就意味著擁有67%以上的股權就擁有絕對控制權。
According to the Company Law, when a company makes important decisions such as changing its share capital, increasing or decreasing its registered capital, amending its articles of association, or changing its main business, it must obtain the support of more than two-thirds of its shareholders. This means that having more than 67% equity means having absolute control.
二、51%相對控制線
2、 51% relative control line
公司在聘請獨立董事、選舉董事和董事長、任命會計師事務所，以及聘任總經理等決策需要獲得半數股東支持。
The company needs to obtain the support of half of the shareholders when making decisions such as hiring independent directors, electing directors and chairman, appointing an accounting firm, and appointing a general manager.
三、34%安全控制線
3、 34% safety control line
股東持股比例超過1/3，才會擁有重大事件一票否決權，若股權低于34%，理論上來說只是一位沒有話語權的財務投資人。
A shareholder holding more than one-third of the shares will have the veto power over major events. If the equity is less than 34%, theoretically speaking, it is just a financial investor without any say.
四、30%要約收購線
4、 30% tender offer acquisition line
當投資者通過證券交易所持有一個上市公司已發行股份的30%，若想繼續增股，就要用要約收購的方式，向所有股東發出要約。
When investors hold 30% of the issued shares of a listed company through a stock exchange and want to continue increasing their shares, they need to make a tender offer to all shareholders through a tender offer.
五、20%競爭警示線
5、 20% Competitive Warning Line
當投資人及其一致行動人所持股份達到上市公司已發行股份的20%，不高于30%時，就要編制詳式權益變動報告書，并強制披露包括同業競爭和關聯交易在內的七項內容。
When investors and their concerted action parties hold 20% or no more than 30% of the issued shares of the listed company, a detailed equity change report must be prepared, and seven items including industry competition and related party transactions must be mandatory to be disclosed.
六、10%臨時會議線
6、 10% Temporary Meeting Line
代表1/10以上表決權的股東，有權提議召開臨時會議。
Shareholders representing more than 1/10 of the voting rights have the right to propose the convening of an extraordinary meeting.
七、5%股變警示線
7、 5% stock change warning line
持有公司5%以上股份的股東，當該公司情況有變，需要進行披露等。
Shareholders who hold more than 5% of the company's shares need to disclose information when the company's situation changes.
八、3%臨時提案權
8、 3% temporary proposal rights
單獨或合計持有公司3%以上股份的股東，可在股東大會召開10日前提出臨時提案。
Shareholders who individually or collectively hold more than 3% of the company's shares may submit temporary proposals 10 days prior to the convening of the shareholders' meeting.
九、1%代位訴訟權
9、 1% Subrogation Litigation Rights
公司董監高若違反法律法規或公司章程，給公司造成損失，持有公司1%以上股份的股東，可以以自己的名義直接向法院提起訴訟。
If the board of directors, supervisors, and senior executives of a company violate laws, regulations, or the company's articles of association, causing losses to the company, shareholders holding more than 1% of the company's shares may directly file a lawsuit in their own name with the court.
